WOCH Platform Terms of Use and Safe Deal Service Rules

WOCH Platform Terms of Use and Safe Deal Service Rules Edition dated 02.08.2026 1. General Provisions 1.1. These Rules are binding on all users of the WOCH platform. 1.2. Registration means the user's agreement with these Rules. 1.3. The WOCH platform is a classifieds board. Law Firm "P.O. HUMAN RIGHTS" (hereinafter — the "Firm") provides users of the platform who are parties to a specific deal (Client 1 — the acquirer: buyer, tenant, freight customer; Client 2 — the seller, lessor, carrier) with legal assistance services: legal support of the deal, safe settlements through the Firm's account, and mediation in the event of disagreements. 1.4. Client 1 and Client 2 act in good faith in performing their own contractual obligations; their interests, within the scope of proper performance of the deal, do not conflict with one another. 1.5. These Rules apply together with the Public Offer for the Provision of Legal Assistance (Mediation) Services, the Returns Policy, the Mediation Rules, and the Privacy Policy. 1.6. The platform may not be used to conclude deals with business entities located (residing) in the temporarily occupied territory of Ukraine, pursuant to Resolution of the Cabinet of Ministers of Ukraine No. 1035 dated 16.12.2015 "On Restricting the Supply of Certain Goods (Works, Services) from the Temporarily Occupied Territory to Other Territory of Ukraine and/or from Other Territory of Ukraine to the Temporarily Occupied Territory." By accepting these Rules, the user confirms that they are not on the list of persons subject to personal special economic and other restrictive measures (sanctions) pursuant to the decision of the National Security and Defense Council of Ukraine, enacted by Decree of the President of Ukraine No. 133/2017 dated 15.05.2017. 1.7. The user is solely responsible for keeping the login and password of their account confidential, as well as for all actions taken under that account. If unauthorized access to the account is discovered, the user must promptly notify the Firm. The Firm is not liable for losses caused by unauthorized use of the user's account, provided such use was not the Firm's fault. 1.8. Acceptance of these Rules is deemed to occur upon the user's registration on the platform or upon the commencement of actual use of the platform in any other way. Continued use of the platform after publication of a new edition of these Rules constitutes the user's agreement with that edition. If the user does not agree with the new edition of the Rules, they must discontinue using the platform. 2. Permitted Listings The platform permits listings for goods, rental services, and transportation, provided such items are not prohibited by law. 3. Prohibited Listings It is prohibited to post listings regarding: weapons and ammunition; narcotic substances; counterfeit products; stolen goods; goods or items the poster has no right to dispose of; goods that infringe intellectual property rights; other goods or services prohibited by law. 4. Listing Requirements Client 2 is required to: post accurate information; use genuine photographs of the goods or item; disclose known defects; not mislead other users. All information (photographs, description, other materials) posted by Client 2 in a listing remains the property of Client 2 (or the person whose rights they lawfully represent). Other platform users acquire no rights to use such information and bear full liability to its owner for any unlawful use. 5. Listing Review The Firm and platform moderators authorized by it have the right to: request additional information; require documents confirming the user's right to dispose of the goods/item; temporarily block a listing; remove a listing without explanation. The Firm and platform moderators authorized by it also have the right to refuse any person's registration on the platform or access to its functionality without explanation, including in the event of a violation of these Rules or non-compliance with the requirements for participants in a safe deal. 6. Safe Deal 6.1. The "WOCH Safe Deal" service is not an electronic payment system, a financial service, a banking activity, or a money-transfer service — it is legal support of the deal provided by the Firm pursuant to the Law of Ukraine "On the Bar and Advocacy." 6.2. The Firm is not the seller, buyer, lessor, tenant, carrier, or any other party to the deal between Client 1 and Client 2. 6.3. Client 1 and Client 2 agree on the material terms of the deal and confirm their participation through the platform. From the moment of confirmation, they are deemed to have instructed the Firm to provide legal support of the deal under the terms of the Public Offer for the Provision of Legal Assistance (Mediation) Services. 6.4. During the course of support, the Firm's attorney may: analyze documents; verify the correctness of contract execution; advise Client 1 and Client 2; inform them of legal risks; recommend ways to remedy violations; assist in documenting the fulfillment of agreements. 6.5. After the agreements have been fulfilled, Client 1 confirms performance of the deal through the platform by electronic notice, uploading documents, or another method provided by the platform. 7. Mediation 7.1. In the event of a disagreement regarding performance of the deal, Client 1 or Client 2 may apply to the Firm with a request for mediation with respect to the other Client. 7.2. Client 1 and Client 2 have the right to submit their proposals on how to resolve the disagreement within the mediation, along with evidence (correspondence, photographs, documents) and other information. 7.3. Mediation is conducted by the Firm's attorney. The attorney personally analyzes the information and proposals submitted by the parties and may propose their own resolution option. 7.4. A disagreement is deemed resolved within the mediation if Client 1 and Client 2 express agreement with one of the proposed options — either the other Client's own proposal or the attorney's proposal. 7.5. The Firm implements the option agreed upon within the mediation, including making the corresponding transfer or refund of funds. 7.6. If Client 1 and Client 2 fail to reach agreement within the mediation, either of them has the right to go to court; until the relevant court decision enters into legal force, the funds are held by the Firm under the terms of the Public Offer for the Provision of Legal Assistance (Mediation) Services. 7.7. Client 1 has the right to withdraw their intent to purchase the goods, or to use the rental or transportation service, before Client 2 has actually performed the obligation, pursuant to the Law of Ukraine "On Consumer Rights Protection." In this case, the funds are refunded to Client 1 less any documented expenses that Client 2 has already incurred in connection with fulfilling their obligations at Client 1's request (in particular, transportation costs, delivery costs, or costs of preparing the goods or item for handover). 7.8. The attorney conducting the mediation bears personal responsibility for their actions and conclusions pursuant to the Law of Ukraine "On the Bar and Advocacy." Neither the Firm nor the WOCH platform makes binding decisions — decisions and proposals within the mediation are formed solely by the attorney. 7.9. The Firm does not administer justice and does not replace the courts. 7.10. The detailed procedure for conducting mediation is set out in the Mediation Rules published on the website. 8. Financial Terms 8.1. Posting listings on the platform is free of charge. 8.2. Payment for legal assistance (mediation) services provided by the Firm upon conclusion of a deal amounts to 5% of the deal value and is withheld from the funds credited to the Firm's account. Detailed terms are set out in the Public Offer for the Provision of Legal Assistance (Mediation) Services. 9. Account Suspension An account may be blocked in the event of: providing false information; fraudulent actions; violation of the law; violation of these Rules. 10. Limitation of Liability 10.1. The Firm does not guarantee that a deal will be concluded between Client 1 and Client 2 and is not liable for: the quality of goods; hidden defects of property; the accuracy of information provided by users; non-performance of the contract by either party; actions of third parties; losses caused by the bad-faith conduct of the parties — except in cases where the contract for the provision of legal assistance (mediation) services expressly provides otherwise. 10.2. Platform services are provided "as is." The Firm does not guarantee uninterrupted, error-free operation of the platform, the preservation of the account or of information posted by the user, or that the platform's functionality will meet the user's expectations. The Firm makes reasonable efforts to remedy technical failures as quickly as possible. 11. Confidentiality Information obtained in the course of legal support is used solely to perform the contract for the provision of legal assistance and is processed in accordance with the Privacy Policy and the legislation of Ukraine. 12. Changes to the Rules The Firm has the right to change these Rules by publishing a new edition on the website. Continued use of the platform after publication of a new edition constitutes the user's agreement with it (see also Clause 1.8). 13. Law Firm Details Name: Law Firm "P.O.
